You agree to keep all such Confidential Information strictly confidential and to not disclose any such Confidential Information to any third party without the advance written consent of Company.
Student Spill asserts service marks in its company name Student Spill,SM SPILLSM and "Supporting Peers In Laidback Listening,"SM SpillSM as a noun and related nouns (Spills,SM Spiller,SM SpillersSM), and the verb SpillSM and its conjugations (Spills,SM Spilling,SM Spilled,SM and SplitSM), and potentially other trademarks under federal and state law – collectively, the "Trademarks." You agree and concede that these Trademarks are protectable intellectual property under state and federal law. You must receive Student Spill's prior approval of all uses of any Trademark. Even then, you must only use the Trademarks in a truthful and positive way, maintain the brand's quality, and allow Student Spill reasonable access to any of your uses of the Trademarks. You promise to comply with any reasonable changes, terms, and conditions that Student Spill feels are appropriate in protecting and promoting its Trademarks or branding. (These requirements are important in maintaining the strength and validity Student Spill's Trademarks.)
Student Spill also has various other intellectual property rights and confidential information in its training manuals, technology, software (including its structure, organization and source code), website, plans, training and supporting techniques, marketing or promotion, participating schools, and practices. All of these (including Trademarks) are collectively referred to as "IP." Student Spill grants you a non-transferable and non-exclusive license to use its IP only insofar as required under this contract. You may not misuse any IP, which includes all of the following: (a) disclose (except, for Trademarks, as Student Spill expressly approves beforehand), damage, modify, adapt, alter, translate, or create derivative works from any IP, (b) sublicense, lease, rent, loan, transfer, disclose, or otherwise make available IP to any third party, (c) merge any IP with anything else, (d) use any IP for the benefit of third parties, such as to another college or university or in a service-bureau, time-sharing, or outsourcing capacity, (e) reverse engineer, decompile, disassemble, or attempt to derive the source code from any IP, (f) make or transmit a copy of any IP except as expressly allowed under this Section or in writing, or (g) use any IP to compete directly or indirectly with Student Spill or use any IP for the benefit of anyone else, including yourself, besides Student Spill. You also must (h) safeguard the IP with reasonable security means, at least as robust as used in your other security, (i) comply with any request by Student Spill to return any physical embodiments of IP or to certify in writing that you have complied with your duties under this agreement within ten business days, and (j) inform Student Spill within one day of you becoming aware of any actions or inactions constituting misuse, by yourself or others.
You acknowledge that any breach under this section will cause immediate and irreparable harm to Student Spill. Accordingly, Student Spill will have the right to seek and obtain preliminary and final injunctive relief to enforce this agreement in case of any actual or threatened breach, in addition to other rights and remedies that may be available.
Access to Site
Submissions / Uploads to the Site
If you submit or upload any information or files to the Site ("Submissions"), you agree not to (a) post or transmit anything that is defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (b) submit or upload anything that violates the copyright or intellectual property rights of any person or entity, (c) post or transmit a virus or any other harmful component, or (d) contact other site users through unsolicited e-mail, telephone calls, mailings or any other method of communication.
